Position Overview

Located in the Company’s Calgary head office, the Manager, Legal Affairs and Inside Counsel must have strong communication and facilitation skills with experience in a fast paced, highly focused environment. Reporting to the CFO she/he will maintain, and augment where needed, the required governance tools and infrastructure to ensure the efficient and speedy processing of contract documentation and associated support services. This position may assist with strategic opportunity evaluation and provide legal expertise and risk analysis into contractual negotiations and documentation. In this capacity, the individual will ensure continuous quality improvement while striving to deliver a superb experience for our internal and external customers alike.

General Responsibilities

  • Supervise, lead and mentor the legal department staff.
  • Maintain an efficient process to complete agreement reviews, negotiation processes and agreement execution
  • Facilitate agreement reviews with the relevant parties, internally & externally
  • Accountable for leading the legal department in maintaining ‘Contract Files’ for the organization including but not limited to TnCs, SLAs, BAAs, Insurance Certificates, NDAs, CDAs, Distributor, OEM Partners or Third-Party Agreements
  • Liaise with external legal counsel as needed and directed by the CFO
  • Respond to and assist with all legal components directed to the Corporate office as it relates to all Requests for Proposals\Quotation, Tenders and associated documents
  • Author, review and maintain the Company’s Consulting Agreements with Consultants or other service providers
  • Perform research for and updating of Corporate Policies
  • Enforce the necessary governance to assess business continuity, risk management, quality control etc.
  • Coordination the resolution of contentious points and issues including meeting with customers and other opposing legal counsel.
  • Be a role model for the Company culture

  • Exceptional communication skills both written and verbal
  • Experience in managing a diverse scope of activities
  • Strong negotiation and problem-solving skills
  • Research mentality
  • Software or technology industry experience
  • High attention to detail

Beneficial Skills/Experience

  • Project management
  • Experience in the medical imaging software industry
  • Regulatory and IP experience

Educational And Professional Requirements

  • Business or Commerce degree
  • Must be designated as a barrister and solicitor with a focus on Corporate law
  • Must be an active registered member of the Law Society of Alberta
